1. Parties

This agreement is between Danielle Dodd trading as Make Way Media (“Freelancer”), based in the United Kingdom, and Helen & Angelo trading as The Gluten Free World (“Client”).

2. Scope of Services

The Freelancer will provide social media content services to support the Client’s online presence.

This includes:

  • Creation of social media posts

  • Caption writing

  • Basic scheduling for Facebook and Instagram

Due to the reduced hours, this agreement is focused on content delivery only.

The following are not included unless agreed separately in writing:

  • Ongoing marketing strategy

  • Blog writing

  • TikTok content

  • Campaign planning

  • Analytics or performance reporting

  • Comment moderation or inbox management

Additional work outside of this scope will be quoted and billed separately.

3. Service Hours and Rate

Hours: 1 hour per week

Rate: £30 per hour

The Freelancer will use this time to create a small number of posts per week, prioritising consistency over volume.

No minimum number of posts is guaranteed.

The Freelancer reserves the right to review and adjust rates with 30 days written notice.

4. Fair Use of Time

The Client acknowledges that services are time based.

All work will be completed within the allocated hourly limit. Any requests exceeding this time will be deferred or quoted separately.

5. Payment Terms

Invoices will be issued monthly in advance.

Payment is due within 7 days of the invoice date.

Failure to pay on time will result in:

Immediate pause of services

No further work being carried out until payment is received in full

6. Late Payment

Late payments will incur interest and compensation in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, including:

Statutory interest at 8% above the Bank of England base rate

Fixed compensation for recovery costs

7. Outstanding Balances

Any outstanding balance must be addressed before services continue.

The Client may choose to remain paused while settling the balance or restart services alongside an agreed repayment plan.

Work will not continue without clear agreement on this.

8. Continuity of Services and Termination

This agreement is based on a continuous provision of services.

The Client may not pause or suspend services unilaterally.

If the Client wishes to end or reduce services, a minimum of 30 days written notice is required.

During the notice period:

Services will continue as normal

Payment remains due in full

If the Client chooses not to use the allocated time during the notice period, this does not affect payment obligations.

Failure to provide notice does not remove the requirement to pay for the 30 day period.

9. Non Use of Services

The Client acknowledges that this agreement reserves time and availability for their business.

Non use of services, including informal pauses or reduced engagement, does not constitute termination and does not affect payment obligations.

10. Intellectual Property

All content created by the Freelancer becomes the property of the Client only upon full payment.

The Freelancer retains the right to use work for portfolio and promotional purposes.

11. Social Media Interaction and Third Party Conduct

The Client acknowledges that social media platforms involve interaction with third parties, including members of the public.

The Freelancer is not responsible for:

Comments, messages, or interactions from third parties

Negative, critical, or abusive responses

Public perception, online disputes, or reputational impact arising from audience behaviour

The presence of negative or controversial engagement is a normal part of social media activity and does not indicate a failure of service.

This agreement includes content creation and scheduling only.

Ongoing comment moderation, inbox management, or handling of negative interactions is not included unless agreed separately in writing.

12. Working Relationship and Expectations

The Freelancer will provide services with reasonable skill and care.

However:

No guarantees are made regarding engagement, reach, or sales

Performance is influenced by factors outside of the Freelancer’s control

The Client acknowledges that reduced hours limit strategic input and potential results.

13. Client Responsibilities

The Client agrees to:

Provide timely responses where required

Supply accurate and up to date information

Ensure all content provided is legally compliant

14. Liability

The Freelancer is not liable for:

Loss of revenue or profit

Business performance outcomes

Platform or algorithm changes

15. Confidentiality

Both parties agree to keep confidential information private and not disclose it to third parties.

16. Illness, Availability and Working Arrangements

The Freelancer operates as an independent contractor and manages their own working schedule.

The Freelancer will generally maintain continuity of service, including during periods of travel or holiday, where reasonably possible.

In the event of illness or unforeseen circumstances that impact delivery, the Freelancer will notify the Client as soon as reasonably possible and make reasonable efforts to reschedule work.

The Freelancer is not liable for delays caused by circumstances outside of their control, provided reasonable communication has been given.

17. Force Majeure

Neither party shall be liable for any failure or delay in performing their obligations under this agreement where such failure or delay results from circumstances beyond their reasonable control. This includes, but is not limited to, acts of God, natural disasters, war, civil unrest, strikes, government actions, pandemics, or failure of utilities or internet services.

If such circumstances continue for more than 30 days, either party may terminate this agreement with written notice.

18. Governing Law

This agreement is governed by and interpreted in accordance with the laws of England and Wales.

19. Amendments

Any amendments to this agreement must be agreed in writing by both parties.
